  1. (1) FREE DOWNLOADS

  3. – Free downloads of any beat produced by ‘Octopvstotheparty (Nola de Castro)’ do not include any artistic, commercial, profitable or legislative rights to the beat. Those versions are only for non-profitable use, meaning only for demonstrational tracks. You are allowed to upload tracks (recorded over free downloaded beats) on internet pages like Reverbnation, Soundcloud, Facebook, Soundclick or Youtube, etc. When being uploaded or presented (for demonstrational use only!), credit always has to be given in a written form to ‘Octopvstotheparty’ (example: Beat by Octopvstotheparty – Octopvstothepartybeats.com) (e.g. in the song description or song title).  You are allowed to put the track on a free mixtape if it is for promotional use only and strictly for non-profitable purpose. If you want to put your song on an album, or manufacture physical copies, or sell your music in any form, you need to purchase at least a leasing license or higher license which is appropriate for your needs. The meaning of free downloads is to do a song for yourself, to do first pre-recordings and to see if the song works out well and is worth to make investments in one of the license types. It is not allowed to make any kind of profit with free download versions. No DVD-, no CD-, no TV-, no radio-streams or airplay allowed! No monetization of videos or any form of audio allowed. No streaming on platforms such as ‘Spotify’, ‘Apple Music’, ‘Deezer’, etc. allowed! Furthermore it is not allowed to make any changes to the beat or remove any of the used tags or blend out parts of the beat (beat-drops). Copying, distributing, uploading or ripping any audio material (e.g. beat, tag, sounds, instruments, drums, etc.) in any form other than allowed in this agreement is strictly prohibited and will not be tolerated at any time! Downloading a tagged beat does not reserve rights to the beat for any form of future licensing. The person disobeying these rules will likely face a law suit for copyright infringement.

  5. (2) LEASING RIGHTS (Basic Lease) (if applicable)

  7. – Also known as non-exclusive rights, purchasing a leasing license grants the customer limited artistic, commercial and legislative rights to the corresponding beat(s) for one single profitable/commercial use (e.g. album, EP, single or mix-tape) on any physical or digital medium such as CDs, DVDs, Blu-ray Discs, LPs, Cassettes, USB-Sticks or digital sales (e.g. itunes, google-play, amazon etc.) with a circulation of up to 5,000 sales units, all royalty-free. Furthermore, licensee is allowed to put his song on profitable streaming platforms and websites such as ‘Spotify’, ‘Apple Music’, ‘Deezer’ etc. with a total limitation of 5,000 profitable streams. If this point of sale is reached and/or further sales are desired, further rights with a new sales cap need to be obtained with a new license or license upgrade (if the beat has not yet been sold with exclusive rights and is still available). If the beat is no longer available and offered for any form of licensing and/or marked as sold, license owners of any type of non-exclusive rights may upgrade their current license to the highest available non-exclusive license such as a professional lease, etc. If exclusive rights are no longer available, this does not affect license owners from being allowed to upgrade their non-exclusive license(s) to the highest form of non-exclusive license(s). Once Licensee has reached the allowed number of sales and any other limits concerning his license agreement, no more sales can be made after the sales cap is reached. Licensee expressly agrees to remove his song from any marketplaces, stores, etc. to avoid the song from being sold or monetized continuously. A leasing license (non-exclusive) comes as a mixed, tag-free WAV-file, MP3-file and a contract/invoice, stating the rights of use and details of purchase. A beat can be leased to more than one person at the same time until exclusive rights are sold to the beat. Once a beat has been sold with exclusive rights, it will no longer be available for any kind of leasing and licensing, except for upgrading previously sold non-exclusive licenses to a higher non-exclusive license. Previous leasing/non-exclusive rights that have been sold before the beat is sold exclusively are not affected and stay valid until the applicable sales cap has been reached. Leasing a beat does not make the licensee the sole owner of the beat, nor does it give the licensee any administrative rights to the beat concerning legal actions against other license owners or anyone using any of the compositions offered by Octopvstotheparty Productions (Octopvstotheparty, Octopvstotheparty Beats, Heat Up Beats). The licensee is not allowed to get profitable radio-, video- or television-airplay or to perform the song on commercial/profitable shows with a leasing rights license. For this purpose licensee must own exclusive rights to the beat or a higher non-exclusive license such as ‘premium leasing rights’, professional leasing rights’ or ‘unlimited leasing rights’, depending on which type of use he wants to market and distribute the song(s) over the beat(s). The licensor expressly forbids re-sale or any other distribution of the producer’s compositions, either as they exist or any modification thereof. You (the licensee) cannot sell, loan, rent, lease, assign, remix, re-arrange, remove any melodies, instruments, drum programming or transfer all or any of the products sold or the corresponding rights to another person or third party (example – Record Label, another production company, another producer, another artist), or for use in any competitive product. This excludes companies the licensee holds at least 50% of ownership. The licensee understands that the licensor maintains 100% copyright and ownership of the original instrumental composition and that licensee buys sales rights and rights of use to the beat-composition(s) but not the intellectual property itself. This entitles licensor to maintain the administrative and legislative rights to the beat-composition, in order to be able to ensure non-exclusive license owners administrative guidance and license-warranties. Licensee cannot use any beat compositions as background element in TV, Film and DVD / computer game projects without obtaining written consent and a separate license agreement. Licensee must include on all productions and products the producer’s name (Octopvstotheparty). Licensee agrees to display the producer’s name in all physical media or within web presentation of a portion (e.g. pre-listening) or sum of the original instrumental composition that is being licensed in this agreement. Including but not limited to CD’s, CD covers, Cassette tapes, LP’s, Cards, etc. (Example credits: ‘Beat prod. by Octopvstotheparty (Nola de Castro)’ or ‘Music produced by Octopvstotheparty (Octopvstothepartybeats.com)’ … Music © 2020 All rights reserved. Used under license. Any displayed or downloadable MP3 files must include ‘Beat by Octopvstotheparty’ within the file name. Furthermore, LEASING RIGHTS are subject to registrations in sections (8) – (13).

  9. (3) PREMIUM LEASING RIGHTS (Premium Lease) (if applicable)

  11. –Same restrictions as in section (2) LEASING RIGHTS, but including the following differences: A premium lease comes as a mixed tag-free WAV-file, tag-free MP3-file and the corresponding separate track-lines in WAV-format (also known as tracked outs) along with a license agreement/receipt, stating the rights of use and details of purchase. Instead of an allowed circulation of up to 5,000 sales units for LEASING RIGHTS, premium leasing rights allow up to 10,000 total sales units, all royalty-free. Furthermore, licensee is allowed to put his song on profitable streaming platforms and websites such as ‘Spotify’, ‘Apple Music’, ‘Deezer’ etc. with a total limitation of 12,000 profitable streams. Besides these allowed sales units (physical or digital song sales) which count as 1 profitable project, the customer/licensee is allowed to use the beat(s) for 1 further profitable project, either for public performances such as profitable live shows, or for monetized (profitable) videos (e.g. youtube, etc.). Licensee is allowed to earn up to 2,000 € in total through public performances such as live shows or monetized videos. Licensee may split earnings for both types of public performances. Once licensee has reached the limit of his allowed sales units and allowed total earnings, and/or further sales are desired, further rights with a new sales cap need to be obtained with a new license or license upgrade (if the beat has not yet been sold with exclusive rights and is still available). If the beat is no longer available and offered for any form of licensing and/or marked as sold, license owners of any type of non-exclusive rights may upgrade their current license to the highest available non-exclusive license such as a professional lease or unlimited lease, etc. If exclusive rights are no longer available, this does not affect license owners from being allowed to upgrade their non-exclusive license(s) to the highest form of non-exclusive license(s). Once Licensee has reached the allowed number of sales and any other limits concerning his license agreement, no more sales can be made after the sales cap is reached. Licensee expressly agrees to remove his song from any marketplaces, stores, etc. to avoid the song from being sold or monetized continuously. All other terms listed in section (2) LEASING RIGHTS, which are not included in this section (3) in changed form or as an addition, count as general non-exclusive rights terms that are legally valid and relevant for Premium Leasing Rights. Furthermore, PREMIUM LEASING RIGHTS are subject to registrations in sections (8) – (13).

  13. (4) PROFESSIONAL LEASING RIGHTS (Professional Lease) (if applicable)

  15. – Same restrictions as in section (2) LEASING RIGHTS and section (3) PREMIUM LEASING RIGHTS, but including the following differences: Professional Leasing Rights come as a mixed tag-free WAV-file, tag-free MP3-file and the corresponding separate track-lines in WAV-format (also known as tracked outs) along with a license agreement/receipt, stating the rights of use and details of purchase. Instead of an allowed circulation of up to 5,000 sales units for LEASING RIGHTS, Professional Leasing Rights allow up to 30,000 total sales units, all royalty-free. Furthermore, licensee is allowed to put his song on profitable streaming platforms and websites such as ‘Spotify’, ‘Apple Music’, ‘Deezer’ etc. with a total limitation of 300,000 profitable streams. Besides these allowed sales units (physical or digital song sales) which count as 1 profitable project, the customer/licensee is allowed to use the beat(s) for 3 further profitable projects. Licensee may use beat composition(s) in song(s), used in public performances such as both profitable live shows and monetized (profitable) videos (e.g. youtube, etc.), as well as profitable TV- and Radio-Airplay or video/audio streams such as Spotify/Apple Music, etc. Licensee is allowed to earn up to $5,000.00 USD in total through public performances such as live shows and another $5,000.00 USD through monetized videos (on Youtube, etc.). In terms of TV-, radio-airplay or video/audio streams, licensee is allowed to have his song played on rotation on 2 stations total, either radio stations, TV-stations or digital internet radio-stations. Licensee is allowed to earn $10,000.00 USD in total through these allowed rotations, besides his allowed sales limits for song sales and/or public performances such as live shows or monetized videos. If licensee reaches his sales limit allowed for rotations/streams, he needs to upgrade his license to exclusive rights or at least an ‘unlimited leasing’ license, if still available. If the beat has been sold exclusively and is no longer available and offered for any form of licensing and/or marked as sold, license owners of any type of non-exclusive rights may upgrade their current license to the highest available non-exclusive license (if higher license is available). If exclusive rights are no longer available, this does not affect license owners from being allowed to upgrade their non-exclusive license(s) to the highest form of non-exclusive license(s). Once Licensee has reached the allowed number of sales and any other limits concerning his license agreement, no more sales can be made after the sales cap is reached. Licensee expressly agrees to remove his song from any marketplaces, stores, etc. to avoid the song from being sold or monetized continuously. Licensor at this point maintains the exclusive, worldwide, and unlimited right, to dis-allow further distribution, in form of rotations/streams, at his sole discretion. All other terms listed in section (2) LEASING RIGHTS and section (3) PREMIUM LEASING RIGHTS, which are not included in this section (5) in changed form or as an addition, count as general non-exclusive rights terms that are legally valid and relevant for Professional Leasing Rights. Furthermore, PROFESSIONAL LEASING RIGHTS are subject to registrations in sections (8) –(13).

  17. (5) UNLIMITED LEASING RIGHTS (Unlimited Lease) (if applicable)

  19. – Same restrictions as in section (2) LEASING RIGHTS, section (3) PREMIUM LEASING RIGHTS and section (4) PROFESSIONAL LEASING RIGHTS but including the following differences: Unlimited Leasing Rights allow commercial and profitable use of the instrumental beat composition without any sales cap (earning-limit) within a time-frame of 8 years (license duration) that begins actively with first day of profitable use and distribution of licensee’s song. After license has expired, licensee will automatically gain a ‘Premium Leasing Rights’ license to the beat(s) without need of any additional payment or additional fees. This Premium Leasing Rights license and all limitations and restrictions therein become valid instantly after used unlimited leasing rights license has expired. No further additional license document will be set-up or is necessary. Furthermore, licensee has option to renew his license by purchasing a new unlimited leasing rights license for another 8 years or upgrade to exclusive rights (if still available). This renewal- or upgrade-option for licensee stays unaffected by any exclusive rights sale (even if exclusive rights are no longer available, licensee can still renew his non-exclusive license). An unlimited leasing rights purchase comes as a mixed tag-free WAV-file, a mixed MP3-file and the corresponding separate in WAV-format (also known as tracked outs) along with a license agreement/receipt, stating the rights of use and details of purchase. Licensee is allowed to sell his song over the beat-composition without any sales limitation or sales cap, worldwide and throughout the universe, with a terminability of 8 years after date of first profitable use, in any commercial/profitable form, and/or transfer the rights to his song over the beat, to another party such as Record Labels, another production company and another artist, but never the rights to the beat-composition itself for a standalone beat-composition product. Licensee may distribute his songs in digital or physical form, as singles, EPs, LPs, soundtracks, etc., generate unlimited unit-based sales or collect pay-outs (unlimited earnings) via streaming based services/plaforms such as Spotify, Deezer, Apple Music and others, without any limit of profits. Licensee may use songs and generate unlimited earnings through live-shows, broadcasts or other public-performances such as live shows or monetized videos, furthermore Licensee can generate unlimited earnings through song(s) over beat compositions used as background element in TV, Video, Film and  DVD / computer game projects without obtaining written consent and/or another license agreement. The licensor expressly forbids re-sale or other distribution of the producer’s beat-composition standalone, either as they exist or any modifications thereof for use in any competitive product, nor can licensee transfer his rights to the beat-composition to a third party if it’s not a full song with artist’s/licensee’s own vocals or at least lyrics. Licensee must include on all productions, products and any medium the producer’s name (Octopvstotheparty) or website (https://Octopvstothepartybeats.com). Licensee agrees to display the producer’s name in all physical media or within web presentation of a portion (e.g. pre-listening) or sum of the original instrumental composition that is being licensed in this agreement. Including but not limited to CD’s, CD covers, Booklets, Cassette tapes, LP’s, Cards, Cases, Boxes, etc. (Example credits: ‘Beat prod. by Octopvstotheparty (Nola de Castro)’ or ‘Music or Beat produced by Octopvstotheparty (Octopvstothepartybeats.com)’ … Music © 2020 All rights reserved. Used under license. Any displayed or downloadable files such as MP3-files must include ‘Beat by Octopvstotheparty’ within the file name. Furthermore, UNLIMITED LEASING RIGHTS are subject to registrations in section (8) – section (13).
 
  1. (6) EXCLUSIVE RIGHTS (if applicable)

  3. – The purchase of exclusive rights grants the customer full artistic and commercial rights to the purchased beat. Any use, sales, distribution and performances are 100% royalty-free. There is no sales cap related to exclusive rights, in contrast to ‘Unlimited Leasing Rights’, exclusive rights have no expiration date and come with an unlimited lifespan. Furthermore beats purchased with exclusive rights will no longer be offered for sale in any one of our stores and marketplaces! (current non-exclusive rights licensees may still use their license and have the option to renew their non-exclusive license, upgrade to a higher non-exclusive license or down-grade to a lower non-exclusive license, without any terminability). An exclusive rights purchase comes as a mixed tag-free WAV-file, a mixed MP3-file and the corresponding separate in WAV-format (also known as tracked outs) along with a license agreement/receipt, stating the rights of use and details of purchase. Licensee is allowed to sell his song over the beat-composition without any sales limitation or sales cap, worldwide and throughout the universe, without terminability, in any commercial/profitable form, and/or transfer the rights to his song over the beat, to another party such as Record Labels, another production company and another artist, but never the rights to the beat-composition itself for a standalone beat-composition product. Licensee can use song(s) over beat compositions as background element in TV, Video, Film and  DVD / computer game projects without obtaining written consent and/or another license agreement. Once a beat has been sold with exclusive rights, it will no longer be available for any kind of future sale/licensing. Previous non-exclusive rights being sold before the beat has been sold exclusively are not affected hereby and stay valid until the sales cap has been reached. License owners of any type of non-exclusive rights may upgrade or down-grade their current non-exclusive license to a higher or lower non-exclusive license (if available). It is therefore possible that a beat has been leased several times before exclusive rights are sold. Licensee is not allowed, nor has the authority, to dis-allow/forbid other non-exclusive license-owners any use of the beat-composition(s) for commercial/profitable purpose or take legal actions against non-exclusive license owners. The licensor expressly forbids re-sale or other distribution of the producer’s beat-composition, either as they exist or any modifications thereof for use in any competitive product, nor can licensee transfer his rights to the beat-composition to a third party if it’s not a full song with artist’s/licensee’s own vocals or at least lyrics. Once exclusive rights are sold, the beat(s) will be marked as ‘sold’ and any possible public download and licensing option will be removed. Upon request, a sold beat may be removed from any website and marketing space where it has been offered for sale by the licensor, if licensor agrees to. This excludes demonstrational videos (e.g. youtube, etc.) or demonstrational audio material used in intros, animations or as background music and demonstrational music solely for listening purpose. With respect to the publishing rights and ownership of the underlying composition embodied in the Master, the Licensee and Licensor hereby acknowledge and agreee that the underlying composition shall be owned/split between them as follows:– Licensee owns 100% of publishing rights.
    – Licensor owns 0% of publishing rights.

    The licensee understands that the licensor maintains 100% copyright and intellectual ownership of the original instrumental composition and that licensee buys exclusive sales rights and rights of use to the beat-composition(s) without any sales cap and for an unlimited period of time but not the intellectual property itself. This entitles licensor to maintain the administrative and legislative rights to the beat-composition, in order to be able to ensure non-exclusive license owners administrative guidance and license-warranties. Also, the licensee understands that the licensor reserves the right to be credited as the producer/composer of the instrumental composition as stated below. Licensee must include on all productions, products and any medium the producer’s name (Octopvstotheparty). Licensee agrees to display the producer’s name in all physical media or within web presentation of a portion (e.g. pre-listening) or sum of the original instrumental composition that is being licensed in this agreement. Including but not limited to CD’s, CD covers, Booklets, Cassette tapes, LP’s, Cards, Cases, Boxes, etc. (Example credits: ‘Beat prod. by Octopvstotheparty (Nola de Castro)’ or ‘Music or Beat produced by Octopvstotheparty (Octopvstothepartybeats.com)’ … Music © 2020 All rights reserved. Used under license. Any displayed or downloadable files such as MP3-files must include ‘Beat by Octopvstotheparty’ within the file name. Furthermore, EXCLUSIVE RIGHTS are subject to registrations in section (7) – section (13).

  5. (7) CUSTOM BEATS / REMIX PRODUCTION

  7. – As Octopvstotheparty (Nola de Castro) also offers Custom Beat Production or Remix Production, these kind of production works are treated similar to exclusive rights and come with the same rights and restrictions, as defined and listed in section (6) for exclusive rights licenses, with the following exceptions/additions/changes: Beat-Compositions that are sold as ‘Custom Beats’ or ‘Custom Production’ have never been displayed, played or distributed publicly and are solely created for the customer/licensee and sold to the customer/licensee, never have been sold as non-exclusive rights before to a third party and will not be sold or offered for sale anytime, except if licensee/customer doesn’t keep up with his payment- and transaction-obligations. Licensee/Customer acknowledges that Octopvstotheparty (Nola de Castro) is not responsible, nor liable/amenable, for any legal issues, caused by using any material (e.g. sound recordings, samples, loops, etc.), customer/licensee wants Octopvstotheparty (Nola de Castro) to use and incorporate in the concerned ‘custom beat’/’custom production’ or ‘remix production’. For a custom beat production, Octopvstotheparty (Nola de Castro) requires ½ (one half) of the total agreed amount/price to be paid upfront. Atfer discussing ideas and customer’s/licensee’s wishes for the ‘custom beat’ or ‘remix production’, customer/licensee will receive first sample to the ‘custom beat’ sound recording within 72 business hours as a tagged demo file in low quality MP3-format, sent via e-mail. Atfer discussing further ideas and customer’s/licensee’s wishes for any changes/additions to the ‘custom beat’, Octopvstotheparty (Nola de Castro) will continue working on the beat until customer/licensee is fully satisfied with the results. Once finished, after customer’s/licensee’s verbal or written approval (via e-mail, phone, skype, etc.), licensee/customer will receive full untagged beat, including tracked out files, mixed WAV-file and MP3-file + license-agreement/receipt, within 24 business hours after final payment, 2/2 (2nd half), has been paid off. If customer/licensee does not keep up with his payment rates, dates, or any other duties related to the transaction, etc., Octopvstotheparty (Nola de Castro) has the right to use the custom beat as product/beat-composition for public licensing, in any form, or for own projects, at his sole discretion. Customer/licensee will then keep a professional lease to the concerned beat(s) or lower/higher non-exclusive license, in case the payment(s) he made already, cover at least the amount necessary for this type of license! Furthermore, Octopvstotheparty (Nola de Castro), will always have the exclusive and unlimited right to cancel the ‘custom beat production’ or ‘remix production’ at any time, by sending customer/licensee a refund of the amount customer/licensee has paid for the beat. Customer/licensee will then keep a professional lease or lower/higher non-exclusive license to the concerned beat(s), in case the payment(s) he made already, cover at least the amount necessary for this type of license! Furthermore, ‘Custom Beats’ and ‘remix productions’ are subject to registrations in section (8) – section (13).
 
  1. (8) CREDIT AGREEMENT

  4. – Credit must always be given to ‘Octopvstotheparty’ in written form, for example ‘Prod by Octopvstotheparty (Octopvstothepartybeats.com)’. By making a purchase of any kind or downloading demo beats, tagged beats, etc. or any similar content, the customer declares that he will give credit to the producer where possible in a written form (cd cover/booklet, song or video descriptions, youtube videos, file-names, mixtapes, albums, singles, remixes, social network pages such as facebook, music sites such as soundcloud, reverbnation, etc.). Proper credit is given as follows: (Example credits: ‘Beat prod. by Octopvstotheparty (Nola de Castro)’ or ‘Beat by Octopvstotheparty (https://Octopvstothepartybeats.com)’ … Music © 2020 All rights reserved. Used under license. Any displayed or downloadable files such as mp3s, wav files, etc. must include ‘Beat by Octopvstotheparty’ within the file name. If beat-composition(s) and/or licensed material contain(s) any pre-recorded and mixed/embedded hook(s) (also known as chorus) by an artist (singer/rapper), the name of the artist is listed and can be found in the filename(s) or purchased items and on our website. If there is doubt about an artist’s name, you, the licensee or person entering into this agreement bound to the terms and conditions, has the responsibility to contact us for this information. In case a beat-composition contains such (a) hook(s), all credit as needed for ‘Octopvstotheparty (Nola de Castro)’ is also needed to be given in written form as follows (‘Hook by Artistname’ or ‘featuring Artistname’). All hooks come royalty free as Octopvstotheparty (Nola de Castro) owns full commercial/profitable rights to them. Beats with hooks being displayed as ‘instrumentals wth hooks’ are treated just like all other beat-compositions in regards of licensing and registrations in the terms & conditions. All artists that may be appearing on beats and performing hooks have been paid upfront for their work as ‘work for hire’ and are legally qualified to enter into this agreement without further agreement(s). No further license documentation by Octopvstotheparty (Nola de Castro) is required for proof of legal correctness.
 
  1. (9) PAYMENTS

  3.  – Octopvstotheparty (Nola de Castro) accepts PayPal,. All payments are to be paid or are paid upfront before delivery of the product. E.g. this means at the same time that services or products by Octopvstotheparty (Nola de Castro) will only be delivered after receiving the payment(s), never upfront. Payments that are still pending and not being credited yet need to be credited first before delivery! Payment plans for services and products, can be set up individually. A verbal or written separate individual agreement therefore is necessary. Payment plans can vary from 2-6 payment steps, at least ¼ of the total price of the service(s)/product(s) needs to be paid upfront as a down-payment. If the customer does not fulfil his payment-plan obligations and does not complete the payment plan or keep up with the agreed payment rates and dates, there will be no refund of any payments made, due to the administrative work and possible financial losses. The beat will become available again for sale and the customer will keep a professional lease to the concerned beat(s), in case the payment(s) he made, cover at least the amount necessary for this type of license! Beats that are being paid with payment plans will be put and marked ‘on hold’ on our website(s) and maketplaces, and may no longer be sold with exclusive rights, but may still be leased to multiple customers at the same time until the last payment step of the payment plan has been completed and the total amount of all items/services/products has been paid off. In case of a money-refund by any of the parties, the issued contract becomes invalid. Payments that are in any form held, refunded, cancelled or incorrect, by any of the parties, result that the issued contract(s)/license agreement(s) and all of the granted rights therein become invalid and reversed.

  1. (10) PUBLIC PERFORMANCES (Shows/Videos/Streams/Radio-and TV-airplay)

Profitable performances are only allowed with premium leasing rights, professional leasing rights, unlimited leasing rights and/or exclusive rights. See appropriate/specific license description and terms. The only license allowing unlimited public performances of any kind, is unlimited leasing rights and/or exclusive rights. TV- and radio-airplay or streams are only allowed for professional leasing rights, unlimited leasing rights and/or exclusive rights. Profitable live shows or monetized videos are allowed for any license higher than standard leasing rights (see restrictions in sections 2-7). All profitable public performances as well as allowed sales units, if applicable for license type, are royalty-free, this means licensee keeps 100% earnings/profits made – exception: rules for rotations/streams as defined in section (4) PROFESSIONAL LEASING RIGHTS.

  4. – The licensor maintains the unlimited, worldwide rights to register his beat-compositions with a content-ID program/institution such as EXMGE, AdRev, etc. (if you have questions about content ID on Youtube etc., please google ‘Content ID’) and be the sole administrator of youtube rights using such a content ID program. This is necessary and entitles licensor to maintain the administrative and legislative rights to the beat-composition, in order to be able to ensure non-exclusive and exclusive license owners administrative guidance and license-warranties. The main purpose is to stop people from stealing beats and using/monetizing them in videos without owning a license. What EXMGE or AdRev does is scan youtube videos for audio material produced by Octopvstotheparty (Nola de Castro) and automatically send a copyright claim, which blocks your videos from monetization temporarily. Don’t worry! This claim is more a notification and will NOT harm your channel or video, nor does it force you to take down the video(s), the only thing it does, is disable the monetization option temporarily. Your video will keep playing without any other limitations. Anyone using free downloads and tagged demo downloads in videos on youtube can ignore this copyright notification as it doesn’t stop your video from playing and monetization wouldn’t be allowed for non-licensed beats at all (if monetization is desired, you can purchase a basic, premium leasing rights license or higher if beat is still available). IMPORTANT! – All license owners need to send us their link(s) to their video(s) and details of purchase so we can forward their video(s) to our youtube network and remove the copyright claim or give you instructions and a code to dispute the claim – please send details/links to: info@Octopvstotheparty.com including your full name, link to video(s) and/or email address used for purchase. This is the exact message you might receive: Due to a copyright claim, you are no longer monetizing the following YouTube video. It is still playable on YouTube, but the copyright owner could choose to show ads on it. It may therefore be possible that you receive a copyright claim on youtube videos, even if you own a license. As listed above, please follow the instructions written in bold! Using a content ID program is the only way we can assure that only people with an appropriate beat-license are monetizing their videos rightfully and legally on youtube. It also helps protect your videos from receiving fraudulent claims by third parties that claim to own the administrative rights to the beats. The customer(s)/licensee(s) understand(s) that they are responsible for clearing all samples that they choose to use and that the licensor cannot and will not be held liable for the misuse of any sampled material that the licensee uses in conjunction with the original instrumental composition that is being licensed in this agreement. The licensee(s) understand(s) and accept(s) that he/they only paid for the production work of the producer. The licensor does not claim to have/own any rights on any sampled material. Under no circumstances is a customer/licensee allowed to re-sell the beat itself or any modifications thereof, nor transfer the rights to the beat composition in any form to a third party, except for what is listed in the applicable license descriptions (specifically sections 2-7 and all other restrictions). Rights that are given to a customer are not transferable and non-refundable, if a customer/licensee features another or other artist(s), not listed as license holders in his license agreement by date of purchase, the issued rights to the beat-composition for use in licensee’s/customer’s song(s), featuring the concerned artist(s), are non-transferrable to other’s and non-splittable, for any kind of non-exclusive license(s) and remain bound strictly and solely to customer/licensee. Exclusive Rights license owners may split rights, transfer rights or share rights to the beat-composition in use of their song(s), by setting up an individual written agreement which needs licensor’s approval at his sole discretion in signed form. If any additional license agreement(s), new license agreement(s), or changes to (a) current license agreement(s), or any concerned additions/adjustments, etc. are desired, license agreement(s) or contract(s) must include these terms and conditions and refer to the sections/content, listed in these terms and conditions in order to blend in with all required and necessary information/registrations for any license type, warranties, and general terms and conditions. All orders are final and cannot be changed/altered/adjusted/refunded afterwards, without licensor’s approval. No matter if exclusive rights or any other licenses are sold to a beat, Octopvstotheparty (Nola de Castro) will always be allowed to use that beat for own promotional uses, without limitation, worldwide and throughout the universe, without terminability. Therefore all beats sold exclusively may stay on the webpage or any websites and marketplaces they were offered, if licensor decides to. Download and license/purchase options to exclusively sold beats (exclusive rights) will be removed and the beat will be marked as ‘sold’ and become unavailable for any form of future licensing, except for non-exclusive license upgrading as defined in section (2) – section (6) for active non-exclusive license owners. Customer(s)/Licensee(s) may edit/alter the length of a beat, mixing/mastering of a beat (use of effects, change of volumes/levels, etc.), and general modifications, such as structure of instrumentation (seperate tracklines), as they see fit, as long as they own a license to the beat and do not change the sound-structure of the beat itself, so that the beat becomes unrecognizable (e.g. only using drums or only using less than 70% of the entire sounds/instruments included in the original beat composition). It is also not allowed to use any parts, melodies, instruments, sounds, drum arrangements, etc. of the original instrumental composition for use in other compositions in a competitive product (for example: remixes or sampled music/beats) without written consent and licensor’s approval. Remixes using any material of the original beat composition, or musical versions covering the original beat composition, played with live instruments (orchestra, band, etc.) are only allowed for professional leasing rights license owners (non-profitable use or as defined in their public performance rights specifications) or for exclusive rights license owners (unlimited profitable use), in both cases only with written consent or a verbal agreement and licensor’s approval. After the delivery of the beat, Octopvstotheparty (Nola de Castro) will be unbound of any further responsibilities and legal obligations to the customer(s)/licensee(s), and legally freed of any further duties. Musical Composition(s)/Beat(s) by Octopvstotheparty (Nola de Castro) may NOT be uploaded on any website, marketplace or distributed in any form without his permission and written consent. Octopvstotheparty (Nola de Castro) is not responsible for any other website(s), marketplace(s), companie(s) or person(s) claiming to sell his beats and owning rights to them, nor is Octopvstotheparty (Nola de Castro) legally responsible, nor liable/amenable for any damage, harm, financial losses or legal issues, caused by anybody abusing, disregarding or disrespecting the listed terms and conditions. Anyone found to be abusing and violating these terms and conditions or any other legal aspect concerning Octopvstotheparty’s (Nola de Castro’) music, content, or physical and/or intellectual property, will likely face a law suit and criminal punishment and be held responsible for copyright infringement.

You may not distribute, sell, assign, license or otherwise transfer any of the sounds or kits except as incorporated in a production. You may not distribute the sounds or loops without the production of music and/or vocal production added or provide instruction as to how to extract the sounds or loops from a production. There will be no refunds for drum-kits in case you don’t like the sounds. All drum samples have been professionally processed and we always deliver high quality products. The demo sounds in the small sample package can be downloaded for free to check the quality and format of the files and can be used for any production purpose on any medium. You may not re-sell or distribute the free sample-drum-sounds in any form on any website. You may not distribute the sounds or loops, either in native format or reformatted, filtered, re-synthesized or otherwise edited for use as sounds, multi-sounds, samples, loops, multi-samples in a sampler, sample playback unit, web site, computer or other media.

The term ‘custom’ means: ‘made to the specifications of an individual customer’. ‘Custom Beats’ and ‘Remix Production’ is treated  equally.

Esas versiones solo están destinadas para uso no lucrativo, lo que significa que solo se pueden usar para pistas de demostración. Se te permite subir pistas (grabadas sobre beats descargados de forma gratuita) en páginas de internet como Reverbnation, Soundcloud, Facebook, Soundclick o Youtube, etc. Al subirlas o presentarlas (¡solo para uso de demostración!), siempre se debe otorgar crédito de forma escrita a ‘Octopvstotheparty’ (ejemplo: Beat de Octopvstotheparty – Octopvstothepartybeats.com) (por ejemplo, en la descripción de la canción o en el título de la canción).     • También conocida como derechos no exclusivos, la compra de una licencia de arrendamiento otorga al cliente derechos artísticos, comerciales y legislativos limitados sobre el/los beat(s) correspondiente(s) para un solo uso lucrativo/comercial (por ejemplo, álbum, EP, sencillo o mixtape) en cualquier medio físico o digital, como CD, DVD, discos Blu-ray, LP, casetes, unidades USB o ventas digitales (por ejemplo, iTunes, Google Play, Amazon, etc.) con una circulación de hasta 5,000 unidades de venta, libres de regalías. Además, se permite al licenciatario colocar su canción en plataformas y sitios web de transmisión lucrativos como “Spotify”, “Apple Music”, “Deezer”, etc., con una limitación total de 5,000 reproducciones lucrativas. Si se alcanza este punto de venta y/o se desean más ventas, se deben obtener derechos adicionales con un nuevo límite de ventas mediante una nueva licencia o una actualización de la licencia (si el beat aún no se ha vendido con derechos exclusivos y todavía está disponible). Si el beat ya no está disponible y se ofrece para cualquier forma de licencia y/o se marca como vendido, los titulares de la licencia de cualquier tipo de derechos no exclusivos pueden actualizar su licencia actual a la licencia no exclusiva más alta disponible, como un arrendamiento profesional, etc. Si los derechos exclusivos ya no están disponibles, esto no afecta la posibilidad de que los titulares de la licencia actualicen su(s) licencia(s) no exclusiva(s) a la forma más alta de licencia(s) no exclusiva(s). Una vez que el licenciatario haya alcanzado el número permitido de ventas y cualquier otro límite relacionado con su acuerdo de licencia, no se podrán realizar más ventas después de alcanzar el límite de ventas. El licenciatario se compromete expresamente a retirar su canción de cualquier mercado, tienda, etc., para evitar que la canción se venda o se monetice continuamente. Una licencia de arrendamiento (no exclusiva) se entrega como un archivo WAV sin etiquetas, un archivo MP3 y un contrato/factura que establece los derechos de uso y los detalles de la compra. Un beat puede ser arrendado a más de una persona al mismo tiempo hasta que se vendan los derechos exclusivos sobre el beat. Una vez que un beat se haya vendido con derechos exclusivos, ya no estará disponible para ningún tipo de arrendamiento y licencia, excepto para actualizar licencias no exclusivas vendidas previamente a una licencia no exclusiva más alta. Las licencias de arrendamiento/no exclusivas previas que se hayan vendido antes de que el beat se venda exclusivamente no se verán afectadas y permanecerán válidas hasta que se alcance el límite de ventas aplicable. El arrendamiento de un beat no convierte al licenciatario en el único propietario del beat, ni le otorga al licenciatario ningún derecho administrativo sobre el beat en relación con acciones legales contra otros titulares de licencias o cualquier persona que utilice cualquiera de las composiciones ofrecidas por Octopvstotheparty Productions (Octopvstotheparty, Octopvstotheparty Beats, Heat Up Beats). No se permite al licenciatario obtener difusión lucrativa en radio, video o televisión ni interpretar la canción en espectáculos comerciales/lucrativos con una licencia de derechos de arrendamiento. Para este fin, el licenciatario debe poseer derechos exclusivos sobre el beat o una licencia no exclusiva más alta, como “premium leasing rights”, “professional leasing rights” o “unlimited leasing rights”, según el tipo de uso que desee para comercializar y distribuir la(s) canción(es) sobre el/los beat(s). El licenciante prohíbe expresamente la reventa u otra distribución de las composiciones del productor, ya sea tal como existen o cualquier modificación de las mismas. Tú (el licenciatario) no puedes vender, prestar, alquilar, arrendar, ceder, remezclar, reorganizar, eliminar ninguna melodía, instrumento, programación de batería o transferir todos o alguno de los productos vendidos o los derechos correspondientes a otra persona o tercero (por ejemplo, discográfica, otra compañía de producción, otro productor, otro artista), o para usar en cualquier producto competitivo. Esto excluye a las compañías en las que el licenciatario posee al menos el 50% de propiedad. El licenciatario entiende que el licenciante mantiene el 100% de los derechos de autor y propiedad de la composición instrumental original y que el licenciatario compra derechos de venta y derechos de uso sobre la(s) composición(es) del beat, pero no la propiedad intelectual en sí. Esto le otorga al licenciante el mantenimiento de los derechos administrativos y legislativos sobre la composición del beat, con el fin de poder garantizar orientación administrativa y garantías de licencia a los titulares de licencias no exclusivas. El licenciatario no puede utilizar ninguna composición de beats como elemento de fondo en proyectos de televisión, cine, DVD o videojuegos sin obtener el consentimiento por escrito y un acuerdo de licencia por separado. El licenciatario debe incluir en todas las producciones y productos el nombre del productor (Octopvstotheparty). El licenciatario acepta mostrar el nombre del productor en todos los medios físicos o dentro de la presentación web de una porción (por ejemplo, preescucha) o suma de la composición instrumental original que se está licenciando en este acuerdo.     • (3) DERECHOS DE ARRENDAMIENTO PREMIUM (Arrendamiento Premium) (si corresponde)
  • Las mismas restricciones que se mencionan en la sección (2) DERECHOS DE ARRENDAMIENTO, pero con las siguientes diferencias: Un arrendamiento premium se entrega como un archivo WAV sin etiquetas, un archivo MP3 sin etiquetas y las pistas de seguimiento separadas correspondientes en formato WAV (también conocidas como “tracked outs”), junto con un acuerdo de licencia/recibo que establece los derechos de uso y los detalles de la compra. En lugar de permitir una circulación de hasta 5,000 unidades de venta para los DERECHOS DE ARRENDAMIENTO, los derechos de arrendamiento premium permiten un total de hasta 10,000 unidades de venta, todas libres de regalías. Además, al titular de la licencia se le permite poner su canción en plataformas y sitios web de transmisión rentables como “Spotify”, “Apple Music”, “Deezer”, etc., con una limitación total de 12,000 transmisiones rentables. Además de estas unidades de venta permitidas (ventas físicas o digitales de canciones), que cuentan como 1 proyecto rentable, el cliente/titular de la licencia tiene permitido utilizar el ritmo/melodía para 1 proyecto rentable adicional, ya sea para presentaciones públicas como shows en vivo rentables o para videos monetizados (rentables) (por ejemplo, en YouTube, etc.). Al titular de la licencia se le permite ganar hasta 2,000 € en total a través de presentaciones públicas como shows en vivo o videos monetizados. El titular de la licencia puede dividir las ganancias para ambos tipos de presentaciones públicas. Una vez que el titular de la licencia haya alcanzado el límite de sus unidades de venta permitidas y ganancias totales permitidas, y/o desee realizar más ventas, deberá obtener derechos adicionales con un nuevo límite de ventas mediante una nueva licencia o una actualización de licencia (si el ritmo/melodía aún no se haya vendido con derechos exclusivos y aún esté disponible). Si el ritmo/melodía ya no está disponible y se ofrece para cualquier forma de licencia y/o se marca como vendido, los titulares de licencias de cualquier tipo de derechos no exclusivos pueden actualizar su licencia actual a la licencia no exclusiva de más alto nivel, como un arrendamiento profesional o un arrendamiento ilimitado, etc. Si los derechos exclusivos ya no están disponibles, esto no afecta la capacidad de los titulares de licencias para actualizar sus licencias no exclusivas al formulario no exclusivo de más alto nivel. Una vez que el titular de la licencia haya alcanzado el número permitido de ventas y cualquier otro límite en relación con su acuerdo de licencia, no se pueden realizar más ventas después de que se alcance el límite de ventas. El titular de la licencia acepta expresamente retirar su canción de cualquier mercado, tienda, etc., para evitar que la canción se venda o monetice continuamente. (4) DERECHOS DE ARRENDAMIENTO PROFESIONAL (Arrendamiento Profesional) (si corresponde)

  • Las mismas restricciones que se mencionan en la sección (2) DERECHOS DE ARRENDAMIENTO y la sección (3) DERECHOS DE ARRENDAMIENTO PREMIUM, pero con las siguientes diferencias: Los Derechos de Arrendamiento Profesional se entregan como un archivo WAV sin etiquetas, un archivo MP3 sin etiquetas y las pistas de seguimiento separadas correspondientes en formato WAV (también conocidas como “tracked outs”), junto con un acuerdo de licencia/recibo que establece los derechos de uso y los detalles de la compra. En lugar de permitir una circulación de hasta 5,000 unidades de venta para los DERECHOS DE ARRENDAMIENTO, los Derechos de Arrendamiento Profesional permiten un total de hasta 30,000 unidades de venta, todas libres de regalías. Además, al titular de la licencia se le permite poner su canción en plataformas y sitios web de transmisión rentables como “Spotify”, “Apple Music”, “Deezer”, etc., con una limitación total de 300,000 transmisiones rentables. Además de estas unidades de venta permitidas (ventas físicas o digitales de canciones), que cuentan como 1 proyecto rentable, el cliente/titular de la licencia tiene permitido utilizar el ritmo/melodía para 3 proyectos rentables adicionales. El titular de la licencia puede utilizar la composición del ritmo/melodía en canciones utilizadas en presentaciones públicas rentables, como shows en vivo rentables y videos monetizados (rentables) (por ejemplo, en YouTube, etc.), así como en la radiodifusión rentable de TV y radio o transmisiones de video/audio, como Spotify/Apple Music, etc. Al titular de la licencia se le permite ganar hasta $5,000.00 USD en total a través de presentaciones públicas como shows en vivo y otros $5,000.00 USD a través de videos monetizados (en Youtube, etc.). En términos de radiodifusión de TV y radio o transmisiones de video/audio, al titular de la licencia se le permite que su canción se reproduzca en rotación en un total de 2 estaciones, ya sean estaciones de radio, estaciones de TV o estaciones de radio por internet. Al titular de la licencia se le permite ganar $10,000.00 USD en total a través de estas rotaciones permitidas, además de sus límites de ventas permitidos para ventas de canciones y/o presentaciones públicas, como shows en vivo o videos monetizados. Si el titular de la licencia alcanza su límite de ventas permitido para rotaciones/transmisiones, deberá actualizar su licencia a derechos exclusivos o al menos una licencia de “arrendamiento ilimitado”, si aún está disponible. Si el ritmo/melodía se ha vendido de manera exclusiva y ya no está disponible y se ofrece para cualquier forma de licencia y/o se marca como vendido, los titulares de licencias de cualquier tipo de derechos no exclusivos pueden actualizar su licencia actual a la licencia no exclusiva de mayor nivel disponible (si hay una licencia superior disponible). Si los derechos exclusivos ya no están disponibles, esto no impide que los titulares de licencias actualicen su(s) licencia(s) no exclusiva(s) a la forma más alta de licencia no exclusiva. Una vez que el titular de la licencia haya alcanzado el número permitido de ventas y cualquier otro límite relacionado con su acuerdo de licencia, no se pueden realizar más ventas después de que se alcance el límite de ventas. El titular de la licencia acepta expresamente eliminar su canción de cualquier mercado, tienda, etc., para evitar que la canción se venda o monetice continuamente. Todos los demás términos enumerados en la sección (2) DERECHOS DE ARRENDAMIENTO y la sección (3) DERECHOS DE ARRENDAMIENTO PREMIUM, que no se incluyen en esta sección (5) en forma modificada o como una adición, se consideran términos generales de derechos no exclusivos legalmente válidos y relevantes para los Derechos de Arrendamiento Profesional. Además, los DERECHOS DE ARRENDAMIENTO PROFESIONAL están sujetos a registros en las secciones (8) – (13).
 
 

(5) DERECHOS DE ARRENDAMIENTO ILIMITADO (Arrendamiento Ilimitado) (si corresponde)

  • Restricciones similares a las establecidas en la sección (2) “Derechos de Arrendamiento”, sección (3) “Derechos de Arrendamiento Premium” y sección (4) “Derechos de Arrendamiento Profesional”, pero incluyendo las siguientes diferencias: Los Derechos de Arrendamiento Ilimitados permiten el uso comercial y rentable de la composición instrumental sin ninguna limitación de ventas (límite de ganancias) dentro de un período de 8 años (duración de la licencia) que comienza activamente desde el primer día de uso rentable y distribución de la canción del licenciatario. Después de que la licencia haya expirado, el licenciatario obtendrá automáticamente una licencia de “Derechos de Arrendamiento Premium” para la(s) pista(s) sin necesidad de ningún pago adicional ni tarifas adicionales. Esta licencia de Derechos de Arrendamiento Premium y todas las limitaciones y restricciones asociadas entran en vigencia de inmediato después de que haya expirado la licencia de derechos de arrendamiento ilimitados utilizada. No se establecerá ni será necesario ningún otro documento de licencia adicional. Además, el licenciatario tiene la opción de renovar su licencia comprando una nueva licencia de derechos de arrendamiento ilimitados por otros 8 años o actualizar a derechos exclusivos (si todavía están disponibles). Esta opción de renovación o actualización para el licenciatario no se ve afectada por ninguna venta de derechos exclusivos (incluso si los derechos exclusivos ya no están disponibles, el licenciatario aún puede renovar su licencia no exclusiva). Una compra de derechos de arrendamiento ilimitados incluye un archivo WAV sin etiquetas, un archivo MP3 mezclado y los archivos separados correspondientes en formato WAV (también conocidos como “tracked outs”), junto con un acuerdo de licencia/recibo que establece los derechos de uso y los detalles de la compra. Se permite al licenciatario vender su canción sobre la composición instrumental sin ninguna limitación de ventas o límite de ganancias, a nivel mundial y en todo el universo, con una terminabilidad de 8 años después de la fecha de primer uso rentable, en cualquier forma comercial o rentable, y/o transferir los derechos de su canción sobre la pista a otra parte, como sellos discográficos, otra compañía de producción y otro artista, pero nunca los derechos de la composición instrumental en sí para un producto independiente de la composición instrumental. El licenciatario puede distribuir sus canciones en forma digital o física, como sencillos, EP, LP, bandas sonoras, etc., generar ventas ilimitadas por unidad o recibir pagos (ganancias ilimitadas) a través de servicios/plataformas de transmisión como Spotify, Deezer, Apple Music y otros, sin ningún límite de ganancias. El licenciatario puede utilizar canciones y generar ganancias ilimitadas a través de shows en vivo, transmisiones u otras presentaciones públicas, como conciertos en vivo o videos monetizados; además, el licenciatario puede generar ganancias ilimitadas a través de canciones sobre composiciones instrumentales utilizadas como elemento de fondo en proyectos de televisión, video, cine y DVD/juegos de computadora sin obtener consentimiento por escrito ni otro acuerdo de licencia. El licenciante prohíbe expresamente la reventa u otra distribución de la composición instrumental del productor por sí sola, ya sea tal como existe o cualquier modificación de la misma, para su uso en cualquier producto competitivo, y el licenciatario no puede transferir sus derechos sobre la composición instrumental a un tercero si no se trata de una canción completa con las propias voces o al menos las letras del artista/licenciatario. El licenciatario debe incluir el nombre del productor (Octopvstotheparty) o el sitio web (https://Octopvstothepartybeats.com) en todas las producciones, productos y cualquier medio. El licenciatario acepta mostrar el nombre del productor en todos los medios físicos o en la presentación web de una porción (por ejemplo, preaudición) o la suma de la composición instrumental original que se licencia en este acuerdo. Esto incluye, entre otros, CD, carátulas de CD, libretos, casetes, discos de vinilo, tarjetas, estuches, cajas, etc. (Créditos de ejemplo: ‘Beat prod. por Octopvstotheparty (Nola de Castro)’ o ‘Música o beat producido por Octopvstotheparty (Octopvstothepartybeats.com)’… Música © 2020 Todos los derechos reservados. Utilizado bajo licencia). Cualquier archivo mostrado o descargable, como archivos MP3, debe incluir ‘Beat by Octopvstotheparty’ en el nombre del archivo. Además, los DERECHOS DE ARRENDAMIENTO ILIMITADOS están sujetos a registros en la sección (8) a la sección (13).

  • (6) DERECHOS EXCLUSIVOS (si corresponde)

    • La compra de derechos exclusivos otorga al cliente todos los derechos artísticos y comerciales sobre el beat adquirido. Cualquier uso, venta, distribución y presentación está libre de regalías al 100%. A diferencia de los “Derechos de Arrendamiento Ilimitados”, los derechos exclusivos no tienen una limitación de ventas y no tienen fecha de vencimiento, teniendo una vida útil ilimitada. Además, los beats adquiridos con derechos exclusivos ya no se ofrecerán a la venta en ninguna de nuestras tiendas y mercados. (Los licenciatarios actuales de derechos no exclusivos aún pueden usar su licencia y tienen la opción de renovar su licencia no exclusiva, actualizar a una licencia no exclusiva de mayor categoría o degradar a una licencia no exclusiva de menor categoría, sin ninguna terminación). Una compra de derechos exclusivos incluye un archivo WAV sin etiquetas, un archivo MP3 mezclado y los archivos separados correspondientes en formato WAV (también conocidos como “tracked outs”), junto con un acuerdo de licencia/recibo que establece los derechos de uso y los detalles de la compra. Se permite al licenciatario vender su canción sobre la composición del beat sin ninguna limitación de ventas o límite de ganancias, a nivel mundial y en todo el universo, sin terminación, en cualquier forma comercial o rentable, y/o transferir los derechos de su canción sobre el beat a otra parte, como sellos discográficos, otra compañía de producción y otro artista, pero nunca los derechos de la composición del beat en sí para un producto independiente de la composición del beat. El licenciatario puede utilizar canciones sobre composiciones de beats como elemento de fondo en proyectos de televisión, video, cine y DVD/juegos de computadora sin obtener consentimiento por escrito ni otro acuerdo de licencia. Una vez que se haya vendido un beat con derechos exclusivos, ya no estará disponible para ninguna venta o licencia futura. Los derechos no exclusivos anteriores vendidos antes de que el beat se haya vendido exclusivamente no se ven afectados y siguen siendo válidos hasta que se alcance el límite de ventas. Los propietarios de licencias de cualquier tipo de derechos no exclusivos pueden actualizar o degradar su licencia no exclusiva actual a una licencia no exclusiva de mayor o menor categoría (si está disponible). Por lo tanto, es posible que un beat se haya arrendado varias veces antes de que se vendan los derechos exclusivos. No se permite al licenciatario, ni tiene la autoridad, prohibir/impedir a otros licenciatarios no exclusivos cualquier uso de la composición del beat con fines comerciales o rentables ni emprender acciones legales contra los licenciatarios no exclusivos. El licenciante prohíbe expresamente la reventa u otra distribución de la composición del beat del productor, ya sea tal como existe o cualquier modificación de la misma, para su uso en cualquier producto competitivo, y el licenciatario no puede transferir sus derechos sobre la composición del beat a un tercero si no se trata de una canción completa con las propias voces o al menos las letras del artista/licenciatario. Una vez que se vendan los derechos exclusivos, el(s) beat(s) se marcará como “vendido” y se eliminará cualquier opción de descarga pública y licencia. A solicitud, un beat vendido puede ser eliminado de cualquier sitio web y espacio de marketing donde haya sido ofrecido a la venta por el licenciante, si el licenciante está de acuerdo. Esto excluye videos de demostración (por ejemplo, YouTube, etc.) o material de audio de demostración utilizado en introducciones, animaciones o como música de fondo y música de demostración exclusivamente con fines de escucha. Con respecto a los derechos de publicación y propiedad de la composición subyacente incorporada en el máster, el licenciatario y el licenciante reconocen y acuerdan que la composición subyacente será de su propiedad/división de la siguiente manera:
    • El licenciatario posee el 100% de los derechos de publicación.
    • El licenciante no posee ningún porcentaje de los derechos de publicación. El licenciatario comprende que el licenciante mantiene el 100% de los derechos de autor y la propiedad intelectual de la composición instrumental original, y que el licenciatario compra los derechos de venta exclusivos y los derechos de uso de la(s) composición(es) del beat sin ninguna limitación de ventas y por un período de tiempo ilimitado, pero no la propiedad intelectual en sí. Esto permite al licenciante mantener los derechos administrativos y legislativos sobre la composición del beat, con el fin de poder brindar orientación administrativa y garantías de licencia a los propietarios de licencias no exclusivas. Además, el licenciatario comprende que el licenciante se reserva el derecho de ser acreditado como el productor/compositor de la composición instrumental, como se indica a continuación. El licenciatario debe incluir el nombre del productor (Octopvstotheparty) en todas las producciones, productos y cualquier medio. El licenciatario acepta mostrar el nombre del productor en todos los medios físicos o en la presentación web de una porción (por ejemplo, preaudición) o la suma de la composición instrumental original que se licencia en este acuerdo. Además, los DERECHOS EXCLUSIVOS están sujetos a registros en la sección (7) a la sección (13).

  • (7) PRODUCCIÓN DE BEATS PERSONALIZADOS / REMIX

    • Como Octopvstotheparty (Nola de Castro) también ofrece Producción de Beats Personalizados o Producción de Remixes, este tipo de trabajos de producción se tratan de manera similar a los derechos exclusivos y tienen los mismos derechos y restricciones, según se definen y enumeran en la sección (6) para las licencias de derechos exclusivos, con las siguientes excepciones/adiciones/cambios: Las composiciones de beats que se venden como “Beats Personalizados” o “Producción Personalizada” nunca se han mostrado, reproducido o distribuido públicamente y se crean únicamente para el cliente/licenciatario y se venden al cliente/licenciatario, nunca se han vendido como derechos no exclusivos a un tercero y no se venderán ni se ofrecerán a la venta en ningún momento, excepto si el licenciatario/cliente no cumple con sus obligaciones de pago y transacción. El licenciatario/cliente reconoce que Octopvstotheparty (Nola de Castro) no es responsable ni responsable, ni susceptible de acciones legales, por cualquier problema legal causado por el uso de cualquier material (por ejemplo, grabaciones de sonido, muestras, loops, etc.) que el cliente/licenciatario desea que Octopvstotheparty (Nola de Castro) utilice e incorpore en el “beat personalizado”/”producción personalizada” o “producción de remix”. Para una producción de beat personalizado, Octopvstotheparty (Nola de Castro) requiere que se pague por adelantado la mitad (1/2) del monto/precio total acordado. Después de discutir ideas y deseos del cliente/licenciatario para el “beat personalizado” o la “producción de remix”, el cliente/licenciatario recibirá una primera muestra de la grabación de sonido del “beat personalizado” dentro de las 72 horas hábiles como archivo demo etiquetado en formato MP3 de baja calidad, enviado por correo electrónico. Después de discutir más ideas y deseos del cliente/licenciatario para cualquier cambio/adición al “beat personalizado”, Octopvstotheparty (Nola de Castro) continuará trabajando en el beat hasta que el cliente/licenciatario esté completamente satisfecho con los resultados. Una vez terminado, después de la aprobación verbal o escrita del cliente/licenciatario (por correo electrónico, teléfono, Skype, etc.), el licenciatario/cliente recibirá el beat completo sin etiquetas, incluyendo los archivos separados, el archivo WAV mezclado y el archivo MP3, junto con el acuerdo de licencia/recibo, dentro de las 24 horas hábiles después de que se haya realizado el pago final, es decir, la segunda mitad (2/2). Si el cliente/licenciatario no cumple con las tasas de pago, las fechas u otras obligaciones relacionadas con la transacción, etc., Octopvstotheparty (Nola de Castro) tiene el derecho de utilizar el beat personalizado como producto/composición de beat para licencias públicas, en cualquier forma, o para sus propios proyectos, a su sola discreción. El cliente/licenciatario conservará entonces un arrendamiento profesional del beat(s) correspondiente(s) o una licencia no exclusiva más baja/más alta, en caso de que el pago(s) que ya haya realizado cubra al menos el monto necesario para este tipo de licencia. Además, Octopvstotheparty (Nola de Castro) siempre tendrá el derecho exclusivo e ilimitado de cancelar la “producción de beat personalizado” o la “producción de remix” en cualquier momento, enviando al cliente/licenciatario un reembolso del monto que el cliente/licenciatario haya pagado por el beat. El cliente/licenciatario conservará entonces un arrendamiento profesional o una licencia no exclusiva más baja/más alta del beat(s) correspondiente(s), en caso de que el pago(s) que ya haya realizado cubra al menos el monto necesario para este tipo de licencia. Además, los “Beats Personalizados” y las “producciones de remix” están sujetos a registros en la sección (8) – sección (13).
     

    (8) ACUERDO DE CRÉDITOS

    • Siempre se debe dar crédito a ‘Octopvstotheparty’ de forma escrita, por ejemplo, ‘Prod by Octopvstotheparty (Octopvstothepartybeats.com)’. Al realizar una compra de cualquier tipo o descargar beats de demostración, beats con etiquetas, etc., o cualquier contenido similar, el cliente declara que dará crédito al productor siempre que sea posible de forma escrita (carátula de CD, libreto, descripciones de canciones o videos, videos de YouTube, nombres de archivos, mixtapes, álbumes, sencillos, remixes, páginas de redes sociales como Facebook, sitios de música como SoundCloud, ReverbNation, etc.). El crédito adecuado se da de la siguiente manera: (Créditos de ejemplo: ‘Beat prod. por Octopvstotheparty (Nola de Castro)’ o ‘Beat por Octopvstotheparty (https://Octopvstothepartybeats.com)’… Música © 2020 Todos los derechos reservados. Utilizado bajo licencia). Cualquier archivo mostrado o descargable, como archivos MP3, archivos WAV, etc., debe incluir ‘Beat by Octopvstotheparty’ en el nombre del archivo. Si la(s) composición(es) de beat y/o el material con licencia contienen algún hook pregrabado y mezclado/incorporado (también conocido como coro) de un artista (cantante/rapero), el nombre del artista se menciona y se puede encontrar en el/los nombre(s) del archivo o en los artículos comprados y en nuestro sitio web. Si hay dudas sobre el nombre de un artista, el licenciatario o la persona que celebra este acuerdo sujeta a los términos y condiciones, tiene la responsabilidad de contactarnos para obtener esta información. En caso de que una composición de beat contenga dicho(s) hook(s), también se debe dar crédito completo como se necesita para ‘Octopvstotheparty (Nola de Castro)’ de forma escrita de la siguiente manera (‘Hook por nombre del artista’ o ‘con la participación de nombre del artista’). Todos los hooks se proporcionan libre de regalías, ya que Octopvstotheparty (Nola de Castro) tiene todos los derechos comerciales/lucrativos sobre ellos. Los beats con hooks que se muestran como ‘instrumentals with hooks’ se tratan de la misma manera que todas las demás composiciones de beats en cuanto a licencias y registros en los términos y condiciones. Todos los artistas que puedan aparecer en los beats y realizar hooks han sido pagados por adelantado por su trabajo como ‘trabajo por contrato’ y están legalmente calificados para celebrar este acuerdo sin necesidad de acuerdos adicionales. No se requiere ninguna otra documentación de licencia por parte de Octopvstotheparty (Nola de Castro) para demostrar su corrección legal.

    (9) PAGOS

Los beats que se pagan con planes de pago se pondrán y marcarán como “en espera” en nuestro(s) sitio(s) web y en los mercados, y es posible que ya no se vendan con derechos exclusivos, pero aún se pueden arrendar a varios clientes al mismo tiempo hasta que se haya completado el último pago del plan de pago y se haya pagado el monto total de todos los artículos/servicios/productos. En caso de un reembolso monetario por parte de cualquiera de las partes, el contrato emitido queda invalidado.     • Las actuaciones públicas son ‘espectáculos en vivo’, ‘transmisiones de video en vivo’, ‘videos’, ‘transmisiones de audio’, ’emisiones de radio’, ’emisiones de televisión’ y ‘música de películas’, ya sea solo música (independiente) o música en una película, anuncio de televisión o video, entre otros. Las actuaciones en vivo sin fines de lucro o las actuaciones públicas sin fines de lucro (espectáculos en vivo sin fines de lucro, transmisiones de video sin fines de lucro, transmisiones de audio sin fines de lucro) están permitidas para cualquier tipo de licencia, sin limitación en la cantidad de actuaciones. Las actuaciones lucrativas solo están permitidas con derechos de arrendamiento premium, derechos de arrendamiento profesional, derechos de arrendamiento ilimitado y/o derechos exclusivos. Consulta la descripción y los términos de la licencia correspondiente/específica. La única licencia que permite actuaciones públicas ilimitadas de cualquier tipo es la licencia de arrendamiento ilimitado y/o los derechos exclusivos.     • El licenciante mantiene los derechos ilimitados en todo el mundo para registrar sus composiciones de ritmo con un programa/institución de identificación de contenido como EXMGE, AdRev, etc. (si tienes preguntas sobre Content ID en YouTube, etc., por favor, busca en Google ‘Content ID’) y ser el único administrador de los derechos de YouTube utilizando dicho programa de identificación de contenido. Esto es necesario y da derecho al licenciante a mantener los derechos administrativos y legislativos de la composición de ritmo, con el fin de poder asegurar la orientación administrativa y las garantías de licencia para los propietarios de licencias no exclusivas y exclusivas. El propósito principal es evitar que las personas roben ritmos y los utilicen/moneticen en videos sin poseer una licencia. Lo que hace EXMGE o AdRev es escanear videos de YouTube en busca de material de audio producido por Octopvstotheparty (Nola de Castro) y enviar automáticamente una reclamación de derechos de autor, lo que bloquea temporalmente la monetización de tus videos. ¡No te preocupes! Esta reclamación es más una notificación y NO perjudicará a tu canal o video, ni te obligará a eliminar el/los video(s), lo único que hace es desactivar temporalmente la opción de monetización. El/los licenciatario(s) comprende(n) y acepta(n) que solo pagó/pagaron por el trabajo de producción del productor. El licenciante no afirma tener/poseer derechos sobre ningún material muestreado. Bajo ninguna circunstancia se permite a un cliente/licenciatario revender el beat en sí mismo o cualquier modificación del mismo, ni transferir los derechos de la composición del beat en ninguna forma a un tercero, excepto lo que se indica en las descripciones de licencia aplicables (específicamente las secciones 2-7 y todas las demás restricciones). Los derechos otorgados a un cliente no son transferibles y no son reembolsables; si un cliente/licenciatario presenta a otro u otros artistas, que no están listados como titulares de la licencia en su acuerdo de licencia en la fecha de compra, los derechos otorgados a la composición del beat para su uso en las canciones del licenciatario/cliente, con la participación de los artistas correspondientes, no son transferibles ni divisibles, para ningún tipo de licencia no exclusiva, y siguen estando estricta y exclusivamente vinculados al cliente/licenciatario. Los titulares de licencias de derechos exclusivos pueden dividir, transferir o compartir los derechos de la composición del beat para su uso en sus canciones, mediante la creación de un acuerdo escrito individual que requiere la aprobación del licenciante a su entera discreción de forma firmada. Si se desean acuerdos de licencia adicionales, nuevos acuerdos de licencia, o cambios en acuerdos de licencia actuales, o cualquier adición/ajuste correspondiente, etc., el/los acuerdo(s) de licencia o contrato(s) deben incluir estos términos y condiciones y hacer referencia a las secciones/contenido enumerados en estos términos y condiciones para integrarse con toda la información/registros necesarios y requeridos para cualquier tipo de licencia, garantías y términos y condiciones generales. Todas las órdenes son definitivas y no pueden ser cambiadas/alteradas/ajustadas/reembolsadas después, sin la aprobación del licenciante. Sin importar si se venden derechos exclusivos u otras licencias para un beat, Octopvstotheparty (Nola de Castro) siempre tendrá permitido utilizar ese beat para sus propias promociones, sin limitación, en todo el mundo y en el universo, sin posibilidad de terminación. También está prohibido utilizar cualquier parte, melodía, instrumento, sonido, arreglo de batería, etc. de la composición instrumental original para su uso en otras composiciones en un producto competitivo (por ejemplo, remixes o música/beats muestreados) sin el consentimiento por escrito y la aprobación del licenciante. Los remixes que utilizan cualquier material de la composición original del beat, o versiones musicales que cubren la composición original del beat, tocadas con instrumentos en vivo (orquesta, banda, etc.), solo están permitidos para los titulares de licencias de derechos de arrendamiento profesionales (uso no lucrativo o según se define en sus especificaciones de derechos de ejecución pública) o para los titulares de licencias de derechos exclusivos (uso ilimitado con fines de lucro), en ambos casos solo con el consentimiento por escrito o un acuerdo verbal y la aprobación del licenciante. Después de la entrega del beat, Octopvstotheparty (Nola de Castro) quedará liberado de cualquier responsabilidad y obligación legal hacia el/los cliente(s)/licenciatario(s), y legalmente exento de cualquier otro deber.
